Woods Lonergan PLLC Files $12 Million Lawsuit Against Apple Inc. for Breach of Contract, Alleging “De Facto” Amendments and Promissory Estoppel

Woods Lonergan PLLC Files $12 Million Lawsuit Against Apple Inc. for Breach of Contract

NEW YORK, NY– Woods Lonergan PLLC, a boutique litigation firm that consistently delivers decisive victories against formidable opponents in high-stakes commercial disputes, announced the filing of a $12 million dollar lawsuit against Apple Inc. (NASDAQ: AAPL). Representing its client, BPA International Inc. (“BPA”), a global provider of multilingual remote call monitoring and business intelligence services, the firm initiated legal action in the Superior Court of the State of California, County of Santa Clara (Case No. 24CV450239). The lawsuit asserts claims of breach of contract, including “de facto” amendments and promissory estoppel, arising from Apple’s abrupt termination of a recently renewed three-year services agreement.

The complaint alleges that Apple breached the newly agreed-upon contract by terminating it just months into a three-year term, despite BPA having provided services for over a decade. The lawsuit further asserts that BPA, relying on Apple’s promises of continued business, made significant investments in staffing, infrastructure, and long-term lease commitments. Apple’s subsequent actions, including effectively terminating Apple-dedicated BPA staff just before the holidays, caused BPA to incur millions in damages, including lost profits, severance costs, and lease termination fees.

The lawsuit seeks damages in excess of $12 million and a declaration from the court that Apple’s termination was invalid. The court filings illustrate a detailed history of communications and agreements between BPA and Apple, including critical email exchanges that document the agreed-upon three-year term, pricing, and other key provisions.

Woods Lonergan PLLC is pursuing a comprehensive legal strategy for the plaintiff BPA, including claims for declaratory relief, breach of contract for lost profits and other damages, and promissory estoppel based on detrimental reliance. This comprehensive strategy involves extensive document discovery and the critical use of financial and industry experts to precisely quantify the substantial damages incurred.
