Woods Lonergan PLLC serves as General Counsel to Condominiums and Cooperatives in the boroughs of Manhattan, Brooklyn and Queens. We provide consistent and reliable advice to the Boards of Directors and Managers of these residential communities – large and small – and successfully handle every type of legal and business matter related to all phases of their operation.

Working closely with Officers and Directors, management companies, and individual unit owners to deliver the most sophisticated, advantageous and cost-effective legal strategies to Co-op and Condo Boards, we offer a full suite of legal services.

General Counsel – we have successfully guided Co-op and Condo Boards through some of their most difficult challenges, including those that arise. We ensure each Board is equipped to exercise prudent business judgment and follow the Co-op’s or Condo’s internal rules. We also assist Boards in negotiating the terms of commitment letters for building-wide loans and the terms and provisions of loan documents.

Corporate Documents – we prepare, review and revise bylaws, proprietary leases, subleases, alteration agreements, house rules, and other corporate documents.

Vendor Contracts – Public adjusters work hand-in-hand with Board members and management companies to prepare, negotiate and review major capital project contracts, commercial leases, license agreements, and other third-party contracts for goods and services, including laundry room concessions, alarm companies, elevator service companies, brokers, architects, and management companies.

Litigation – when necessary, we initiate litigation against tenants or unit owners and third parties such as contractors and neighboring buildings. We also defend Boards when claims are brought against the Co-op or Condo and litigate actions against sponsors for construction defects and other claims.

Conveyances – we regularly perform Condo and Co-op closings in our Manhattan offices.
